MAIN PURPOSE OF POSITION:
Provision of Secretariat service to the Board, Board Committee and the group Executive and other governance forums of the SABC
Ensure compliance with the SABC’s statutory and governance obligations
KEY ACCOUNTABILITIES
• Monitor and ensure compliance with relevant legislation and codes of ethical conduct affecting the SABC’s governance environment
• Keep abreast of developments regarding corporate governance and advise Group executives as to their duties, responsibilities and personal obligations
• Ensure an awareness within the Corporation regarding legislation and regulations affecting governance and relevant to the SABC
• Administration of the SABC’s subsidiaries to ensure compliance with the Companies Act. And other statutory requirements
• Co-ordinate operation of the company’s formal decision making and reporting machinery and ensure compliance in Delegation of Authority Framework
• Ensure the timely distribution of meeting documentation and attend and minute meetings of the Board, Board Committees, Group Executive Committee and other forums required
• Maintain minute books and other relevant statutory registers of the Corporation in accordance with legal requirements and governance best practises. Assist with execution of Corporate Strategy by ensuring that Board and Group Executive decisions and instructions are clearly communicated to the relevant parties
• Manage coordination, organisation and convening of meetings and workshops of the Board, its committees, Group and Operations committees
• Assist in effective development and induction of Board members
• Ensure The effective management of all documentation regarding Board and Group Executives activities for easy access on request
QUALIFICATIONS AND EXPERIENCE
• Highly motivated, organised, detail oriented, professional of the highest calibre
• CIS or equivalent degree or diploma
• 3- 5 years’ experience as a Company Secretary
• Practical Knowledge and understanding of the reporting and financial requirements of the PFMA, Broadcasting Act, Companies Act and other legislation relevant to the SABC
• Ability to work in highly pressured environment under stringent deadlines and deliver work of exceptional quality
• Willingness to work irregular hours including weekends when required
• Above average level of computer literacy
• Ability to work with confidential information
• Flexibility and a commitment to do whatever it takes to “get the job done”
• Ability to work well in a team environment without supervision
